Terms of Service
Last updated: [DATE — fill in on actual publish]
These Terms of Service ("Terms") govern your access to and use of xlister.pro (the "Service"), operated by [Company Legal Name] ("we," "us," or "our"). By creating an account or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Description of the Service
xlister.pro is a tool for eBay sellers that helps manage eBay listings, monitor and automate pricing ("repricing"), synchronize orders and inventory, and view sales/performance analytics. The Service connects to your eBay seller account(s) via eBay's official APIs, with your authorization, to perform these functions on your behalf.
Not all features described here or on the Service's marketing pages may be available at all times — the Service is under active development, and features may be added, changed, or removed.
2. Eligibility & Account Registration
You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for:
- Providing accurate information when registering an account.
- Maintaining the confidentiality of your account credentials.
- All activity that occurs under your account.
- Notifying us promptly of any unauthorized use of your account.
We may suspend or terminate accounts that provide false information or that we reasonably believe pose a security risk to the Service or other users.
3. Connecting Your eBay Account
To use most features of the Service, you must authorize xlister.pro to access your eBay seller account via eBay's OAuth authorization flow. By doing so, you represent that:
- You are the authorized owner or operator of the eBay seller account(s) you connect.
- Your use of the Service, and our use of the eBay APIs on your behalf, complies with eBay's own User Agreement, API License Agreement, and any applicable eBay seller policies.
- You remain solely responsible for your listings, pricing, fulfillment, and all other obligations to eBay and to your buyers — the Service is a tool that acts on your instructions and configured rules, not a substitute for your own compliance with eBay's policies.
You may disconnect an eBay account from the Service at any time. Disconnecting does not affect any actions already taken on eBay before disconnection.
4. Acceptable Use
You agree not to:
- Use the Service to violate eBay's terms, applicable law, or the rights of any third party.
- Attempt to circumvent rate limits, security measures, or access controls on the Service or on eBay's APIs.
- Use the Service to scrape, collect, or process eBay data in a way that violates eBay's API terms (the Service is built to use eBay's official APIs only, not scraping).
- Interfere with or disrupt the integrity or performance of the Service.
- Reverse-engineer, decompile, or attempt to extract the source code of the Service, except as permitted by law.
5. Fees
[Placeholder — pricing/subscription terms are not yet finalized. This section must be completed before the Service charges for any paid tier: pricing, billing cycle, refund/cancellation policy, and what happens to connected eBay accounts and data if a subscription lapses.]
6. Intellectual Property
The Service, including its software, design, and content (excluding your own data and eBay's data), is owned by [Company Legal Name] and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or branding.
You retain all rights to your own listing content, pricing rules, and business data. You grant us a limited license to process that data solely to provide the Service to you.
7. Disclaimers
The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that the Service will be uninterrupted, error-free, or that automated actions (such as repricing) will always produce the outcome you intend — you are responsible for reviewing and confirming the rules and configurations you set up.
We are not affiliated with, endorsed by, or officially connected to eBay Inc., except as a third-party application operating under eBay's developer program.
8. Limitation of Liability
To the maximum extent permitted by law, [Company Legal Name] shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity, arising out of or related to your use of the Service, including any losses resulting from automated pricing or listing actions taken by the Service according to your configured rules.
[This section, and any liability cap, must be reviewed by counsel and may need to vary by jurisdiction — some jurisdictions do not allow the exclusion of certain warranties or damages.]
9. Indemnification
You agree to indemnify and hold [Company Legal Name] harmless from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of eBay's own terms or applicable law.
10. Termination
We may suspend or terminate your access to the Service at any time for violation of these Terms, at our discretion, or as required by law. You may stop using the Service and disconnect your eBay account(s) at any time. Sections of these Terms that by their nature should survive termination (e.g., intellectual property, disclaimers, limitation of liability, indemnification) will survive.
11. Changes to These Terms
We may update these Terms from time to time. We will post the updated Terms with a new "Last updated" date. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
12. Governing Law
[Placeholder — governing law and jurisdiction/venue for disputes need to be specified based on where the company is legally established.]
